1. Agreement to terms
These Terms of Service ("Terms") are a binding agreement between you and Helix Trading LLC ("Helix"). By accessing or using the Services you agree to these Terms, our Privacy Policy, Risk Disclosure, Trading & Performance Disclaimer, and Acceptable Use Policy. If you do not agree, do not use the Services.
You must be at least 18 years old and able to form a binding contract to use the Services.
2. Nature of the Services
Helix provides trading software, analytics, signals, and infrastructure. Helix is NOT a broker-dealer, investment adviser, commodity trading advisor, futures commission merchant, or fiduciary, and nothing in the Services constitutes financial, investment, legal, tax, or other professional advice or a recommendation to buy, sell, or hold any instrument.
Signals, scores, and analytics are informational tools. You are solely responsible for your own trading decisions, configuration, risk settings, and the operation of your own brokerage and trading platform. See the Risk Disclosure and Trading & Performance Disclaimer.
3. Accounts and security
You are responsible for maintaining the confidentiality of your account credentials and connection keys, and for all activity under your account. Notify us immediately of any unauthorized use. We may suspend or terminate accounts that pose a security or compliance risk.
4. Subscriptions, billing, and trials
- Paid plans are billed in advance on a recurring basis (monthly or annual) through Stripe until cancelled.
- Upgrades take effect immediately; downgrades and cancellations take effect at the end of the current billing period, and access continues until then.
- Fees are exclusive of taxes, which may be added where applicable.
- Except where required by law, payments are non-refundable. We may change pricing prospectively with notice.
- You authorize us and Stripe to charge your payment method for applicable fees.
5. License and restrictions
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for your own internal trading purposes. You may not, and may not permit others to:
- copy, resell, sublicense, or commercially exploit the Services without authorization;
- reverse engineer, decompile, or attempt to extract source code, models, or model weights;
- circumvent entitlements, usage limits, security, or access controls;
- use the Services to build a competing product or to train competing models;
- use the Services unlawfully or in violation of the Acceptable Use Policy.
6. Intellectual property
Helix and its licensors retain all right, title, and interest in the Services, including all software, models, algorithms, and content. The models and related intellectual property are proprietary and never transferred. You retain ownership of your own account and trading data; you grant us a license to process it to operate and improve the Services as described in the Privacy Policy.
7. Third-party platforms
The Services interoperate with third-party platforms and brokers (e.g. NinjaTrader) that you control under separate agreements. We are not responsible for those platforms, their availability, fills, data, or for your brokerage relationship. You are responsible for complying with their terms and your broker's rules.
8. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, ACCURATE, OR PROFITABLE.
We do not warrant the accuracy, completeness, or timeliness of market data, signals, or analytics, which may be delayed, incomplete, or incorrect. Trading involves substantial risk of loss — see the Risk Disclosure.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HELIX AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY TRADING LOSSES, LOST PROFITS, OR LOST DATA, ARISING FROM OR RELATED TO THE SERVICES.
OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
10. Indemnification
You agree to indemnify and hold harmless Helix and its affiliates from claims, damages, and expenses (including reasonable legal fees) arising from your use of the Services, your trading activity, or your violation of these Terms or applicable law.
11. Suspension and termination
You may stop using the Services at any time and cancel from the in-app billing portal. We may suspend or terminate access for violation of these Terms, security or compliance risk, or non-payment. Provisions that by their nature should survive termination will survive.
12. Governing law and disputes
These Terms are governed by the laws of [Governing law / jurisdiction], without regard to conflict-of-laws rules. The exclusive venue for disputes is [Jurisdiction], unless applicable law requires otherwise. [Optional: arbitration / class-action waiver clause to be added after counsel review.]
13. Changes to these Terms
We may modify these Terms from time to time. Material changes will be notified by updating the effective date and, where appropriate, by additional notice. Continued use after changes take effect constitutes acceptance.
